Attrition Clause Rewrite Template

01 Sentence 1 — Pickup-not-block

"Group's attrition liability shall be calculated as the positive difference, if any, between the Attrition Threshold and the Actual Room-Night Pickup." Re-measures the gap against the threshold, not the full block. Single highest-leverage clause.

02 Sentence 2 — Force majeure stacking

"In the event of Force Majeure (Spanish Civil Code Art. 1105, French Civil Code Art. 1218, or German BGB §313), no attrition fee shall be payable." Explicit civil-code anchor; explicit stack on top of attrition.

03 Sentence 3 — Rebookable-rate exception

"No attrition shall apply to room-nights the Hotel successfully resells at the Group Rate or higher during the contracted dates." Shifts loss to hotel only when they fail to resell.

04 Sentence 4 — Sister-property credit

"Group may apply unused contracted room-night value as credit toward a future booking at any property in the [Chain] brand within 24 months." Multi-property chains accept this readily.

05 Planner-side redline detail 1 — Variable cost net

Push for itemised variable-cost net (8-15% of room rate) for housekeeping, in-room amenities, guest-facing staff. Itemised is materially better than left-to-hotel-discretion.

06 Planner-side redline detail 2 — Pickup report obligation

Hotel must provide final pickup report within 30 days post-event, listing room-nights consumed by name. Without this clause the buyer has no basis to challenge the hotel's number.

07 Planner-side redline detail 3 — F&B separation

Insist on separate sections for room-night attrition and F&B minimum, with separate carve-outs for each. Bundled wording lets hotels apply the higher percentage to whichever measure failed.
